The International Ship Registry of Madeira

The International Shipping Registry of Madeira (RIN-MAR) was created in the 1980s as a part of the International Business Center of Madeira (MIBC) to prevent the flagging out of vessels from the European Union to other less burdensome, less transparent and ultimately less secure shipping registries.

RIN-MAR was considered, in November 2016, the fourth largest international shipping register of the European Union, reaching the largest number of vessels since its creation and the third in terms of tonnage.

RIN-MAR allows for the registration of all type of commercial vessels (except fishing vessels), commercial and pleasure yachts and oil rig platforms.
Companies, forms of partnerships, branches, agencies and legal representatives may apply to register vessels in RIN-MAR.

Why Use the Madeira Registry

  • The credits secured by a shipping mortgage are considered secured privilege credits with the right to be paid with the product of the sale of the vessel with preference to other creditors of the same debtor. Privileged credits, they rank in third place just immediately after (i) the costs and legal expenses made in the common interest of the creditors and (ii) the wages due to assistance and salvation; incurred in the ship’s last voyage or because of it;
  • Vessels registered in RIN-MAR may be owned and operated by a foreign company and no restrictions in respect to the nationality or residence of the owners or directors of the company apply.
    • In case the vessel is owned by a foreign entity that entity must appoint a Portuguese representative to deal with compliance matters and be specially empowered to receive notifications and services of process in respect to the vessel(s);
  • A very flexible and competitive mortgage system applies, allowing the mortgagor and the mortgagee to choose, by written agreement in the mortgage document, the legal system of a particular jurisdiction to govern the mortgage. In the lack of such an agreement, the Portuguese mortgage law shall be applicable;
  • Guarantee to the mortgagee of full payment of all credits secured by the mortgage in the event of sale to third parties of the mortgaged vessel. The third party is not able to sustain the value of the mortgaged property for an amount less than those credits;
  • Exemption or reduced stamp duty applies to contracts, acts and documents (namely mortgages) whenever related to entities licensed to operate in the international scope of the MIBC, including vessels registered in RIN-MAR, depending on whether those entities (shipping companies) operate under the III or the IV Tax Regime of Incentives;
  • Exemption of registration fees and other registration taxes in acts related to the registration of the property, mortgages and other acts pertaining to vessels registered in RIN-MAR;
  • Competitive initial registration and annual maintenance fees for the vessels registered in RIN-MAR;
  • Possibility of temporary registration in RIN-MAR of vessels under a bareboat charter, with the written authorization of the underlying register, the mortgagees and the ship owner;
  • Relative flexibility of the crew nationality requirements: only 30% of the crew must have Portuguese, European or Portuguese speaking countries nationalities (Brazil, Angola, Mozambique, Cape Verde, S. Tomé). There are no restrictions in the remaining 70%;
  • Application to MAR of all International Maritime Conventions ratified by Portugal.

Vessel's Documents

Various documents and information on the vessel are submitted to the Technical Commission of MAR for analysis and initiation of the registration process:

  • Owner and/ or operator’s contracts, mortgages or other liens relating to the vessel;
  • Purchase certificate of the vessel (bill of sale);
  • Vessel’s name and two other alternative names;
  • Application for the attribution of a call sign, as well as description of communication equipment;
  • Certified copy of the register Tonnage Certificate;
  • Name of classification society;
  • Vessel’s characteristics and propulsion system;
  • Shipyard and year of construction;
  • Copies of the vessel’s certificates including those of the classification society;
  • Copy of the ship Station Licence;
  • Tonnage measurement data;

The Technical Commission of MAR will decide, according to the ship’s records, age and detention history, if a survey will be carried out before registration. A survey is also carried out in the absence of any of the following recognised certificates:

  • Transcript of registry (from any previous registration);
  • Deletion certificate.

Legal Documents

The following legal documentation is required for the permanent registration of a vessel in MAR:

  • A power of attorney is to be granted by the applicant to a local representative in case the domicile or the head office of the applicant is located outside the Autonomous Region of Madeira;
  • Bill of sale
  • Certificate issued by the previous registry.
  • Deletion certificate
  • Permission granted by the mortgagee(s)

Permanent Registration

Vessels must deliver proof of the deletion of the previous registration, if applicable. However, a document issued by the competent maritime authorities, stating that the deletion of the previous registration was requested, may be initially accepted by MAR.

Ship Registration in Madeira Annual Fees

Upon registration, vessels will be subject to a fixed fee in the amount of 1,800 euros plus a variable fee calculated according to the net tonnage:

The annual fee comprises a fixed fee of 1,400 euros plus a variable fee calculated according to the following scale:

The fees due for passenger’s vessels, tug boats and other auxiliary embarkations are those stated above, increased by 15% and 30% on the registration and annual fees, respectively.

Other fees will be applicable on the issue, recognition or renewal by the Technical Commission of MAR of various documents, declarations and certificates, as well as for the carrying out of inspections aboard vessels registered in MAR.

Shipping Companies

Licence application for shipping companies

All types of companies, Portuguese or foreign and their forms of corporate representation, such as branches, may apply to register ships in RIN-MAR to carry out maritime transport activities.

A licence application must be submitted to S.D.M., in duplicate, addressed to the Cabinet of the Regional Secretary of Finance and Public Administration of the Regional Government of Madeira. The licence may be requested by an existing company, in Portugal or abroad, or by a company to be incorporated.

In case a new shipping company is formed, no minimum share capital requirements will apply. The incorporation procedures are similar to those applicable to any other Portuguese company.

Foreign ship owners without any form of representation in Madeira can also register ships in RIN-MAR provided they appoint a Portuguese representative.

What is the Madeira International Shipping Register (MAR)?

The Madeira International Shipping Register (MAR) is Portugal’s second ship register, and the third largest European registry, and forms part of the Madeira International Business Centre. It was established in 1989 to help prevent the transfer of vessels from the conventional Portuguese register to foreign flags of convenience, attract investment and support the competitiveness of the Portuguese merchant fleet.

Ships registered with MAR fly the Portuguese flag and are subject to the applicable Portuguese maritime legislation and international maritime conventions binding Portugal. The MAR framework also provides for the control of maritime-safety and marine-environment requirements under those conventions.

What types of vessel can register in MAR?

The Madeira International Shipping Register (MAR) registers commercial vessels, including vessels under construction, and pleasure craft, subject to the applicable registration, technical, safety, certification and classification requirements. The MAR framework also permits the temporary registration of vessels taken under bareboat charter, provided that the required authorisations are obtained.

Vessels may be owned by entities licensed to operate within the MIBC or by entities outside the MIBC, subject to the applicable requirements. The registration application must include evidence of ownership or chartering rights and the relevant corporate or personal identification documents.

Initial surveys and related certification may be carried out by the DGRM or by a classification society recognised in Portugal (such as ABS, BV, LR, RINA, KR and CCS), in accordance with the applicable agreements and MAR procedures.

Do I need to be Portuguese to register a vessel in MAR?

No. You do not need to be Portuguese, nor do the directors or managers of the owning entity generally need to be Portuguese residents or nationals. A vessel may be owned by a foreign company, subject to the applicable MAR eligibility and registration requirements. Where the relevant entity has its registered office outside Madeira, it must maintain a local branch, agency, delegation or other form of representation with sufficient powers to deal with the authorities and third parties, including to receive service of process. MCS may provide such representation under an appropriate power of attorney.

What are the crew nationality requirements in MAR?

At least 30% of the crew of a commercial vessel registered in MAR must be Portuguese nationals, nationals of an EU or other European country, or nationals of a country whose official language is Portuguese. The remaining crew may generally have other nationalities. In specially justified cases, an exemption may allow additional crew members from other countries where suitably qualified crew cannot be recruited. This nationality requirement does not apply to pleasure craft registered in MAR. All crew members must nevertheless meet the applicable qualification and technical requirements.

How much does it cost to register a ship in MAR?

Registration is subject to a fixed fee of 1,800 euros plus a variable fee based on net tonnage, ranging from 225 euros up to 250 NT down to 0.10 euros per NT above 30,000 NT. The annual fee is a fixed 1,400 euros plus a variable fee, from 200 euros up to 250 NT down to 0.25 euros per NT above 20,000 NT. Passenger vessels, tug boats and auxiliary craft pay a 15% surcharge on registration and 30% on the annual fee.

What tax benefits apply to Madeira shipping companies?

Licensed Madeira shipping companies may benefit from the MIBC tax regime, including a 5% IRC rate on qualifying income from maritime transport activities, subject to the applicable substance, income-source, benefit-limit and other statutory conditions. Certain dividends paid to qualifying non-resident shareholders may benefit from an exemption from withholding tax, but this is not automatic and depends on the applicable MIBC requirements. MIBC entities may also benefit from an 80% reduction or limitation in stamp duty and certain local taxes. Additional stamp-duty exemptions may apply to qualifying external financing for the acquisition of ships and related equipment. The minimum share capital is not specific to shipping and depends on the company’s legal form.

Do crew members pay social security and income tax in MAR?

Crew members of vessels registered in MAR must have social-protection coverage for sickness, occupational disease and parenthood. Portuguese nationals and individuals resident in Portugal must generally be enrolled in the Portuguese general social-security regime, with a total contribution rate of 2.7%, of which 2.0% is paid by the employer and 0.7% by the crew member. Non-Portuguese and non-resident crew members may instead be covered by another qualifying public or private social-protection regime. Remuneration earned by crew members in that capacity is exempt from Portuguese personal income tax while the MAR registration remains valid, subject to any separate rules applicable where the company opts for the tonnage-tax regime.

What documents are needed to register a vessel in MAR?

Registration in MAR normally requires ownership and vessel documents, including the bill of sale or other title of acquisition, tonnage information or certificate, classification and statutory certificates, technical details of the vessel and propulsion system, and information concerning any existing mortgages or other encumbrances. For definitive registration, a certificate of deletion from the previous registry is generally required, although alternative evidence may be accepted in specific circumstances. An initial registration survey report or, where permitted, a declaration of conformity from a recognised organisation is also required.

If the relevant owner or shipping entity is established outside Madeira, it must maintain a local branch, agency or other authorised representative with sufficient powers to deal with the authorities and receive service of process. The precise documentation depends on the vessel type, classification, registration route and trading activity, so the checklist should be confirmed with MAR before documents are prepared.
